1About HAI

HAI is a social coordination app for making plans with the people you actually know. You create a profile, connect with friends, organise them into private groups called rooms, propose something to do, and everyone answers yes or no. When enough people say yes, the plan is confirmed. You can add a place, mark yourself as free, and — if you choose — show your friends where you are on a map so you can find each other.

The idea is simple: see who's free, make a plan, go.

HAI is a coordination tool. It is not a messaging network — there is no chat. It does not organise events, run venues, provide transport, verify anybody's identity, or take responsibility for what happens when people meet.

In these Terms, "HAI", "we", "us" and "our" mean IONESCU ANDREI V SOFTWARE PFA. "You" means the person using the app.

3Acceptance of these Terms

By creating a HAI account or using the app, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use HAI.

These Terms form a contract between you and IONESCU ANDREI V SOFTWARE PFA.

4Eligibility and minimum age

You must be at least 16 years old to use HAI.

We ask for your date of birth when you create your account and we will not create one for anybody below 16. By creating an account you confirm that the date you gave is accurate, that you are legally able to enter into this agreement, and that you are not barred from using HAI under any applicable law.

Your date of birth is used for this check and nothing else. It is not shown on your profile and is not visible to other users — see section 6 of the Privacy Policy.

If we learn that an account belongs to someone below 16, we will close it and delete its data.

5Your account

You need an account to use HAI. You create one with an email address and a password, or by signing in with Google or Apple.

You agree to:

• give accurate information when you sign up;
• keep your password confidential and not share your account with anyone;
• tell us at support@joinhai.app if you believe someone else has accessed your account;
• take responsibility for what happens under your account.

You may hold one account. Creating additional accounts to get around a block, a suspension or a restriction is not permitted (see section 19).

6Email and phone verification

Email. When you sign up with an email address we send a six-digit code to it. You must enter that code before your account is active. This confirms the address is yours.

Phone (optional). You may add a phone number and verify it with a code sent by SMS. Verifying a number does two things: it confirms the number is yours, and it lets other HAI users find your account if they have that number in their address book. You can use HAI without adding a phone number.

Message and data rates from your carrier may apply to verification messages.

7What HAI does

The app currently provides:

• Profiles — a username, display name, optional picture, bio and city.
• Friends — sending, accepting and declining friend requests; finding people by username; finding people through your contacts, if you allow it.
• Invite codes — short codes you can share to add a friend or to bring someone into a room.
• Rooms — private groups by default; admins can make a room public, in which case any signed-in user can find it by name and join.
• Blocking and reporting — block anyone from their profile, and report a person, a room or a plan.
• Proposals — suggest an activity, with an optional time and place, to a room.
• Yes/No — the only two answers. When enough yeses land, the plan is confirmed.
• Places — add a place by pasting a Google Maps link; open directions in your phone's own maps app.
• "I'm free" — mark yourself available for a period, with optional activity tags and a short note.
• Maps — optionally show your live position to your friends, or to specific rooms.
• Notifications — push and in-app notifications about plans and friend requests.

We may add, change or remove features. See section 27.

8Friends and social connections

Friendship on HAI is mutual: a request has to be accepted. Either side can remove a friendship at any time.

Your username, display name and profile picture can be found by any signed-in HAI user who searches for them, or who has your verified phone number in their contacts. Your bio and city are shown only to friends, room-mates, and people with a pending friend request between you.

Do not put anything in your public profile fields that you would not want a stranger to be able to see.

9Rooms

Rooms are groups of people. You can create one, invite people to it with a code, and leave it whenever you like.

• Private rooms (the default) are invisible to anyone who is not a member.
• Public rooms can be found by name by any signed-in user, who can see the room's name, picture and member count — but not who is in it, what has been proposed in it, or where anyone is. Room admins choose whether a room is public.

Room admins can manage membership and settings. Making a room public is a decision that affects everyone in it; admins should not do it without the members' agreement.

10Proposals and plans

Anyone in a room can propose something. A proposal has an activity, a title, a proposed start time, an expiry, and optionally a place.

A proposal is a suggestion between the people in a room. It is not a reservation, a ticket, a booking, or a commitment by anyone other than the people who answer.

Proposals expire. An expired proposal stops accepting votes.

11Yes / No participation

HAI deliberately offers two answers: yes and no. There is no "maybe" — the point of the app is a decision.

Answering yes is a statement of intent to the other people in the room. It is not a contract, and nobody is legally obliged to turn up. But other people make their own plans based on your answer, so if things change, change your answer.

Your vote is visible to the other members of the room.

12Places and maps

Places in HAI come from Google Maps links that users paste in. When you add a place, its name, address and coordinates go into a shared catalogue that every signed-in HAI user can see. Do not add your home address or any other private location as a place.

Map tiles come from Mapbox, drawn from OpenStreetMap data. Attribution is in Settings → Map data. Directions open in your phone's own maps app — Apple Maps, Google Maps or whatever you have set — and are governed by that provider's own terms.

We do not verify that a place exists, is open, is safe, or is what its name says it is.

13Location features

Sharing your location is entirely optional and off by default.

When you turn it on:

• you choose who sees it — your friends, or only the members of rooms you pick;
• you choose how long — an hour, four hours, eight hours, or until you turn it off;
• your position is shown as exact coordinates, not an approximate area;
• your device keeps the position current in the background while sharing is on, which your phone shows you (the iOS location indicator, and a permanent Android notification);
• people who are not your friends or room-mates can never see your location. There is no public map and no nearby-strangers feature.

You can stop at any time. "Hide" deletes your stored position. Setting your audience to "Nobody" takes you off every map.

Location accuracy is not guaranteed. GPS is affected by buildings, weather, device hardware, battery-saving modes and network conditions. A pin on the map is an approximation of where a device recently was, not proof of where a person is now. Do not rely on HAI as your only way of finding someone.

Do not share your location with people you do not trust, and do not use HAI's location features to monitor, follow or keep track of another person.

14Real-world meetings and personal safety

HAI is for making plans that happen in the real world. That is the point of it, and it comes with responsibilities that are yours, not ours.

• You decide who to meet. Use your judgement, the same as you would with any plan made in any other app or by text message.
• We do not verify identity. Anyone can create an account with an email address. A username and a picture are not proof of who someone is.
• We do not run background checks. We do not screen users for criminal records or anything else, and we make no representation about any user's character, intentions or trustworthiness.
• If you are meeting someone you do not know well, meet somewhere public, tell someone where you are going, and leave if you are uncomfortable.
• We do not check venues. A place in HAI is a name and a set of coordinates that a user pasted in. We do not inspect places for safety, accessibility, licensing or anything else.
• HAI is not an emergency service. It cannot summon help. If you are in danger, call the emergency services — 112 in the EU.

15User content

You keep ownership of everything you put into HAI: your profile picture, your username and display name, your bio and city, room names and pictures, proposal titles, availability notes, and the places you add.

You are responsible for your content. Only upload content you have the right to upload, and do not upload anything that breaks section 18.

16Licence you give us

To run the app, we need permission to handle the content you put into it. You grant IONESCU ANDREI V SOFTWARE PFA a non-exclusive, royalty-free, worldwide licence to host, store, back up, reproduce for technical purposes, transmit, display and process your content, solely to the extent necessary to:

• operate, maintain and provide HAI to you and to the people you have chosen to share with;
• keep the service secure and prevent abuse;
• review content that has been reported to us, and enforce these Terms;
• comply with our legal obligations.

That is the whole licence. It is limited to running the service; it does not allow us to sell your content, license it to anyone else, use it in advertising, or use it to train machine-learning models.

The licence ends when you delete the content or your account, except where a copy must be retained for a limited period for legal or security reasons, and except for content already shared with other users that reasonably cannot be recalled.

17Contacts and invitations

Giving HAI access to your contacts is optional; the app works without it.

If you allow it, HAI reads names and phone numbers from your address book to find which of your contacts are already on HAI. How that works technically — and the fact that raw numbers are not stored — is set out in section 8 of the Privacy Policy.

When you invite someone who is not on HAI, you send the invitation, through your own phone's share sheet. HAI does not message your contacts.

You agree not to:

• upload contact data you have no right to share;
• use contact matching to work out whether a specific person has a HAI account for any purpose other than connecting with them;
• send bulk or unsolicited invitations.

18Prohibited conduct

You must not use HAI to do, or attempt to do, any of the following:

Harm to people

• harass, bully, intimidate, threaten or stalk anyone;
• incite or threaten violence;
• sexually harass anyone, or share sexual content involving anyone without their consent;
• sexually exploit or endanger a child in any way, including grooming — this is reported to the authorities;
• encourage self-harm, suicide, or dangerous "challenges".

Hate and discrimination

• post hate speech, or attack or demean people on the basis of race, ethnicity, national origin, religion, disability, sex, gender identity, sexual orientation, age or any other protected characteristic.

Deception

• impersonate another person, or misrepresent your identity or affiliation;
• run scams, phishing, fraud, or any financial deception;
• send spam, or unsolicited advertising or promotions.

Privacy and safety of others

• publish anyone's private information without their consent (doxxing) — including addresses, phone numbers, or their location;
• use HAI's location features to track, follow or monitor another person;
• pressure or trick anyone into sharing their location;
• add another person's home or private address to the shared place catalogue;
• attempt to work out the precise location of anyone who has not chosen to share it with you;
• get around someone's block, or create a new account to contact someone who has stopped you contacting them.

Abuse of the platform

• scrape, harvest, crawl or bulk-collect profiles, usernames, locations or any other data from HAI;
• use bots, scripts or automated tools against the app or its API;
• reverse engineer, decompile or tamper with the app, except where that right cannot be excluded by law;
• probe, scan or test the security of our systems without permission, or interfere with the service or its infrastructure;
• circumvent privacy controls, visibility settings, rate limits or access restrictions;
• use HAI for commercial solicitation without our written permission.

Illegality

• do anything unlawful, or use HAI to plan, arrange or carry out anything unlawful.

19Blocking, reporting and moderation

Blocking. You can block anyone from their profile: open it and choose "Block or report". A block is enforced on our servers, not just hidden in the app — a blocked person cannot see your profile, your plans, your availability or your location, cannot find you by searching or through their contacts, and cannot appear to you either. Blocking is silent: they are not told. It also ends any friendship between you, and unblocking does not bring that back. Your block list is in Settings → Privacy → Blocked accounts.

Reporting. You can report a person, a room or a plan from inside the app. Choose a reason, add anything you want us to know, and send it. Reporting a person also blocks them unless you turn that off in the same step. The person reported is never told who reported them.

You can also write to support@joinhai.app, or legal@joinhai.app for a formal legal notice — including a notice about illegal content under Article 16 of the Digital Services Act. Tell us the username or the content concerned, what happened and when, and anything that helps us find it.

What we do with a report. A person reads it. There is no automated moderation and no automated content scanning in HAI, and we would rather say that than imply a system we do not have. Depending on what we find we may contact the people involved, remove content, apply a block, restrict features, or suspend or terminate an account. Serious matters — in particular anything involving a child, or a credible threat to someone's safety — are referred to the competent authorities.

Notice of a restriction. If we remove your content or restrict your account, we will tell you what we did and why, unless we are legally prevented from doing so or telling you would create a risk to someone's safety. You can contest the decision by replying to us at legal@joinhai.app, and a person will look at it again.

20Suspension and termination by us

We may suspend or terminate your access to HAI if:

• you materially breach these Terms;
• your use of HAI creates a risk to other users, to us, or to third parties;
• we are required to do so by law;
• you have not used the account for a very long period and we are retiring it (we would tell you first);
• we discontinue HAI entirely (see section 27).

Where it is reasonable and lawful to do so, we will warn you first and give you the chance to put things right. For serious breaches — in particular anything involving harm to a child, sexual exploitation, credible threats of violence, or serious illegality — we may act immediately and without notice.

You can contest any suspension or termination at legal@joinhai.app.

21Ending your account

You can delete your HAI account at any time, from inside the app: Settings → Delete account.

What deletion removes, and the few things that behave differently, are set out in section 20 of the Privacy Policy. One is worth repeating here: a room you created is handed to another admin, or to its longest-standing member, rather than being deleted with you. A room nobody else is in is deleted. Deletion is permanent and cannot be undone.

You can also simply stop using HAI and uninstall it. That does not delete your account.

22Third-party services

HAI relies on and links out to services operated by other companies:

• Supabase — our hosting, database and authentication infrastructure;
• Expo, Apple and Google — push notification delivery;
• Mapbox, with OpenStreetMap data — the maps;
• PostHog — product analytics, if you consented;
• Apple Maps / Google Maps — opened when you ask for directions;
• your device's app store, share sheet, mail app and messaging apps.

When you leave HAI for one of these, that provider's own terms and privacy policy apply. We are not responsible for third-party services, and we do not control what they do.

23Intellectual property

HAI — the app, its name, its logo, its design, its code and its content other than user content — belongs to IONESCU ANDREI V SOFTWARE PFA or to our licensors, and is protected by copyright and other intellectual property law.

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use HAI on devices you own or control, for your own personal, non-commercial use, in accordance with these Terms. That is all the licence you get; everything not expressly granted is reserved.

You may not copy, modify, distribute, sell or lease any part of HAI, or use our name or logo without our written permission.

24Availability and changes to HAI

We try to keep HAI working, but we do not promise it will be available without interruption or error. It may be unavailable for maintenance, updates, or because a service we depend on has a problem.

We may change, add or remove features, and we may discontinue HAI entirely. If we discontinue it, we will give you reasonable notice where we can, so you can get your data out or delete your account.

HAI is currently a pre-release product. Some features described in the app may change substantially.

25Paid services

HAI is free today. There is no payment feature in the app and we do not take payments.

If we introduce paid features in future, we will publish the terms and prices before you can buy anything, and you will not be charged for anything without agreeing to it first. Existing features that you rely on today will not be put behind a paywall without notice.

26Disclaimers

To the extent permitted by law, and without limiting the mandatory rights described in section 29:

• HAI is provided as it is. We do not promise it will meet every requirement you have, or be uninterrupted, timely, secure or error-free.
• We do not verify the identity, age, character, statements or intentions of any user.
• We do not verify places, venues, or the accuracy of any place information.
• We do not guarantee the accuracy, availability or timeliness of location information.
• We do not guarantee that a notification will be delivered, or delivered in time.
• We are not a party to any plan made through HAI, and we take no responsibility for whether people turn up, what they do, or what happens when they meet.
• HAI is not an emergency service, a safety service, a security service or a transport service.

27Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited under the law that applies to you — including mandatory Romanian and EU consumer law.

Subject to that, and to the extent permitted by law:

• We are liable for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care and skill. Loss is foreseeable if it is obvious that it will happen, or if both parties knew it might happen when the contract was made.
• We are not liable for loss that was not foreseeable, for loss of profit, business, goodwill or opportunity, or for damage caused by a third-party service we do not control.
• We are not liable for the conduct of other users, whether online or in person.

HAI is provided to you free of charge. That is relevant to what is reasonable to expect from it, but it does not remove your statutory rights.

28Your responsibility to us

If your use of HAI breaks these Terms or the law and that causes us loss — for example a third-party claim brought against us because of something you posted or did — you are responsible for that loss to the extent it results from your breach.

This does not apply to anything you did in good faith, and it does not apply to the extent the loss was caused by us. Nothing here limits your rights as a consumer under mandatory law.

29EU and Romanian consumer rights

If you use HAI as a consumer, you have rights under Romanian and EU consumer protection law that these Terms cannot take away. Nothing in these Terms affects those rights.

In particular, these Terms do not limit your rights in respect of digital services under Romanian law implementing EU Directive (EU) 2019/770, and no term here should be read as excluding a right you have that cannot lawfully be excluded.

30Governing law and jurisdiction

These Terms, and any dispute arising from them or from your use of HAI, are governed by Romanian law.

If you are a consumer resident in the EU or EEA, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country where you habitually live, and you may bring proceedings in the courts of that country. We will bring any proceedings against a consumer in the courts of the country where that consumer lives.

Otherwise, the courts of Romania have jurisdiction.

31Disputes

If you have a problem, please contact us first at support@joinhai.app — most disputes are resolved quickly and informally.

If we cannot resolve it, you keep every right to go to court, and nothing in these Terms requires you to arbitrate or to give up a legal remedy.

32Changes to these Terms

We may update these Terms — for example when HAI gains a feature, or when the law changes. The "Last updated" date at the top tells you when we last did.

If a change materially affects your rights or obligations, we will notify you in the app or by email before it takes effect. Continuing to use HAI after that means you accept the new Terms. If you do not accept them, you can delete your account.

33General

• Whole agreement. These Terms and the Privacy Policy are the whole agreement between you and us about HAI.
• If one part fails. If any part of these Terms is found unenforceable, the rest continues to apply.
• No waiver. If we do not enforce a term straight away, we have not given up the right to enforce it later.
• Transfer. You may not transfer your rights under these Terms. We may transfer ours to another company that takes over the operation of HAI, provided your rights are not reduced; we will tell you if that happens.
• Language. These Terms are written in English. If we publish a translation and the versions conflict, tell us — we will not use a translation to reduce your rights.
